- "Contract" — Any agreement for the sale and purchase of commodities between the Company and the Client.
- "Incoterms" — International Commercial Terms as published by the International Chamber of Commerce (ICC), latest edition.

3. Website Use & Intellectual Property
3.1 Permitted Use

5. Commodity Trading Terms
5.1 Contract Formation
No binding contract exists until both parties have signed a written sales and purchase agreement specifying product, quantity, quality specifications, price, delivery terms, and payment conditions. Electronic communications including emails and SMS messages may constitute evidence of contractual intent but do not alone form a binding contract.
5.2 Product Specifications
All products are sold based on mutually agreed specifications detailed in the contract. Samples provided are representative only and not binding unless explicitly stated.
5.3 Incoterms
All deliveries shall be governed by Incoterms as specified in the contract. Risk and title transfer according to the agreed Incoterm. Unless otherwise stated, our default terms are FOB and CIF.
6. Payment & Delivery
6.1 Payment Terms
Payment terms are negotiated per transaction and specified in the contract. Standard terms include: Letter of Credit (L/C) at sight, Telegraphic Transfer (T/T) against documents, or advance payment as agreed. All payments must be made in the currency specified in the contract.
6.2 Delivery
Delivery schedules are estimates only. The Company shall not be liable for delays caused by events beyond its reasonable control. Time is not of the essence unless expressly agreed in writing.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Continental Harvest Co. shall not be liable for any indirect, consequential, special, punitive, or incidental damages including but not limited to loss of profits, loss of business, loss of goodwill, or business interruption arising from the use of this website or any transaction.
Our total liability under any contract shall not exceed the contract value of the specific transaction giving rise to the claim.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Indemnification
You agree to indemnify and hold harmless Continental Harvest Co., its directors, officers, employees, and affiliates from any claims, damages, losses, or expenses arising from your breach of these terms, misuse of the website, or violation of any applicable law.
9. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control including but not limited to: acts of God, war, terrorism, pandemic, natural disasters, government sanctions, port closures, shipping disruptions, refinery outages, or supply chain failures. The affected party must notify the other within 48 hours.
10. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For transactions involving our Nigerian subsidiary (RC 8204171), Nigerian law may apply as specified in the relevant contract. For transactions involving our US entity (File 3917378, incorporated in the State of Delaware), the laws of the State of Delaware may apply.
11. Dispute Resolution
11.1 Negotiation
Parties shall attempt to resolve disputes amicably through good faith negotiations within 30 days of written notice.
11.2 Arbitration
If negotiation fails, disputes shall be referred to arbitration under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.
11.3 Commodity-Specific Arbitration
For disputes specifically related to petroleum products, the parties may agree to refer the matter to the arbitration rules of the International Chamber of Commerce (ICC) or the London Maritime Arbitrators Association (LMAA).
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms together with any contract, Privacy Policy, and written agreements between the parties constitute the entire agreement and supersede all prior understandings.
12.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 No Waiver
Failure to enforce any provision shall not constitute a waiver of that provision or any other.
12.4 Assignment
You may not assign your rights under these terms without our prior written consent. We may assign our rights to any affiliate or successor entity.
12.5 Third-Party Rights
No person other than the parties to these terms shall have any rights under the Contracts (Rights of Third Parties) Act 1999.
12.6 Amendments
We reserve the right to amend these Terms at any time. Changes take effect upon posting on this website. Continued use constitutes acceptance.
